Referral Program Agreement
This Referral Program Agreement (the "Agreement") is entered into by and between TerraCycle, Inc. ("Company") and you, the participating customer ("Referrer"). By participating in the Company’s Referral Program, you agree to be bound by the terms and conditions outlined herein.

1. Program Overview The Company offers the Referral Program to reward existing customers (Referrers) who refer new, qualified customers (Referees) to the Company.
2. Participation and Referral Link
2.1 Enrollment: Any current customer with an active account in good standing at shop.terracycle.com/en-US that has placed and received at least one order online is eligible to participate as a Referrer.
2.2 Referral Link: Company will provide the Referrer with a unique, trackable link (the "Referral Link") which will appear in Referrer’s profile page at shop.terracycle.com/en-US. The Referrer may share this link with friends, family, and personal contacts.
2.3 Sharing: The Referral Link may be shared via email, social media, or personal conversations, provided that the sharing method is not a form of unsolicited bulk email ("spam").
3. Qualifying Referral
A "Qualifying Referral" occurs when all the following conditions are met:
Note: Self-referrals (using one's own link) or purchases made by the Referrer's household or immediate family residing at the same address do not qualify.
4. Reward and Store Credit
4.1 Referral Credit: For each successful Qualifying Referral, the Referrer will receive a $10.00 USD Store Credit (the "Credit").
4.2 Issuance: The Credit will be automatically issued to the Referrer's customer account within 24 hours after the Referee's qualifying purchase is completed and shipped.
4.3 Credit Use: The Credit may only be redeemed toward future purchases of goods or services from the Company that are sold on shop.terracycle.com/en-US.
4.4 No Cash Value: The Credit has no cash value and cannot be redeemed for cash, transferred, or sold. Any unused Credit will expire one year from when the store credit is earned or immediately upon termination of the Referrer's account.
5. Restrictions and Prohibited Conduct
5.1 Misrepresentation: Referrers must accurately represent the Company and the terms of the Referral Program. Referrers may not imply they are agents or employees of the Company.
5.2 Spam: The Referral Link may only be shared in compliance with applicable data protection and electronic communications laws. Any sharing of the Referral Link that could be construed as spam, bulk email, or unsolicited advertising is strictly prohibited and will result in immediate termination from the program and forfeiture of any accrued Credits.
5.3 Fraudulent Activity: Any attempt to manipulate the system, including, but not limited to, self-referral, creating fictitious accounts, or using automated systems, will result in permanent exclusion from the program and possible account suspension.
6. Program Changes and Termination
6.1 Modification: The Company reserves the right to modify or change the terms and conditions of this Agreement, including the Credit amount, qualifying criteria, or rewards, at any time, with or without notice. Further, Company reserves the right to suspend customers from the Referral Program at any time for non-compliance with the Terms and Conditions as set forth on https://www.terracycle.com/en-US/pages/terms-of-use
6.2 Termination: The Company may terminate the Referral Program at any time. In the event of program termination, all accumulated Credits will remain valid for 90 days from the date of termination, after which they will expire.
6.3 Discretion: All decisions regarding Qualifying Referrals and the issuance of Credits are at the Company's sole discretion and are final.
7. Indemnification and Liability
The Referrer agrees to indemnify and hold harmless the Company from and against any claims, damages, liabilities, and expenses arising from the Referrer's breach of this Agreement or misuse of the Referral Link. The Company shall not be liable for any indirect, special, or consequential damages related to this program.
8. Governing law
This Agreement is governed by the laws of the State of New Jersey.
9. Data Protection
Participation in the Referral Program involves the collection and use of personal information. Such information will be processed in accordance with the Company’s Privacy Policy available at https://www.terracycle.com/en-US/pages/privacy-policy.
